Club Constituition and Bylaws
CONSTITUTION OF THE SIOUX CITY CAMERA CLUB
ARTICLE I Name
The name of this organization shall be Sioux City Camera Club.
ARTICLE II Purpose
The aim of this club shall be: The mutual education and learning in the science and art of photography. To promote and encourage advancement of its members in the knowledge and practice of photography.
ARTICLE III Membership
Any person interested in photography may become a member of this club as provided in the Bylaws.
ARTICLE IV Officers
The officers of this club shall consist of a President, Vice-president, and Secretary/treasurer. All of these officers shall be elected by a voice vote of the members. The duties shall be as provided in the Bylaws.
ARTICLE V Board of Directors
There shall be a Board of Directors consisting of the officers of the club and the immediate past President.
ARTICLE VI Vacancies
Section 1. In the event of absence, resignation, incapacity, death, or removal from office of the President, that office shall be taken over for the unexpired portion of the term by the Vice-President. If for any reason the Vice-President is unable to take over the office, the Secretary/treasurer shall assume the Presidency for the unexpired portion of the term, and shall appoint a new Secretary/treasurer in his place. (The appointment to be ratified by the Board of Directors.)
Section 2. If any office, except that of the President, shall become vacant for any reason, it shall be filled for the unexpired portion of the term by appointment by the President or his successor (ratified by a majority affirmative vote of the Board of Directors).
ARTICLE VII Election of Officers, terms of
The officers shall be elected annually for a period of one year. No elective officer shall hold the same office more than two full consecutive terms of one year each. Election procedure is provided in the Bylaws.
ARTICLE VIII Meetings
Section 1. Regular meetings of the club shall be held as provided in the Bylaws
Section 2. Such other meetings may be held as are or may be, specified in the By-Laws.
Section 3. All business meetings of the club shall be conducted in accordance with Robert's Rules of Order.
ARTICLE IX Quorum
A quorum of the membership at a business meeting shall consist of not less than one-fourth of the membership of the club, based on the number of members in good standing.
ARTICLE X Committees
The club shall have at least the following Standing Committees, each committee being constituted as provided in the Bylaws and having the duties assigned therein:
Membership Committee
Exhibitions Committee
Social & Field Trips Committee
By-Laws Committee
Other Standing Committees or Special Committees may be provided as needed. The Standing Committees shall be appointed as provided In the Bylaws, as soon as feasible after the election of the officers and shall continue to function until their successors qualify.
ARTICLE XI Fiscal year
The fiscal year of the club shall be from September 1 to August 31.
ARTICLE XII Amendments
Any proposed revocation, addition, or amendment to this Constitution may be made as follows: The proposed revocation, addition, or amendment may be initiated by a majority affirmative vote of the Board of Directors or by not less than three members in good standing. It must be in writing duly signed by said directors or members at a business meeting of the club, at which at least a quorum is present. It shall then be discussed and tabled until the next business meeting at which at least a quorum is present, when it shall he voted upon by written ballot. To be adopted it must be passed by two-thirds of the qualified voters present.
ARTICLE XIII Bylaws
Bylaws not in conflict with this Constitution may be enacted, amended, or revoked by a majority vote of the Board of Directors, subject to ratification by a majority vote of at least a quorum of members at the regular or special business meeting. Proposal for enactment, amendment, or revocation may be made by a majority affirmative vote of the Board of Directors, or by a letter undersigned by at least three members in good standing, and presented by a motion at a regular or special business meeting at which at least a quorum is present. Such proposed new By-Law, or amendment, or revocation shall not be voted upon until the next business meeting following the one at which it was proposed. To be adopted it must be passed by at least a majority of members present.
ARTICLE XIV Approval of the Constitution and Bylaws
This constitution and attached Bylaws shall be declared adopted when they have been voted on and approved by at least two-thirds of the total number of members who have paid their dues for the current year.
BYLAWS
(Amended and proposed October, 2006)
ARTICLE I Membership
Section 1. Any person who is interested in photography may be declared an active member of the club upon payment of dues. Dues are payable in Sept. & delinquent Dec. 1.
Section 2. Only active members will be eligible to compete in monthly competitions of the club.
Section 3. Members may serve on a judging committee after they have competed in monthly competitions for at least one year.
ARTICLE II Dues
Section 1. Annual dues are payable September 1 as follows:
Individual membership $25.00
Family memberships 35.00
Student membership 20.00
Social membership 20.00
Section 2. Any person who renews or joins the club in September, October, November or December shall pay 100% of the annual dues. Any person who joins the club in January, February, March, or April shall pay 50% of the annual dues. Discount does not apply to late renewal.
ARTICLE III Nominations for Election of Officers
Section 1. The nominating committee consisting of three members shall be appointed by the president at the first meeting; in March.
Section 2. This committee shall select nominees for the office of President, Vice president, and Secretary/treasurer. All proposed nominees shall be approached as to their willingness to serve if elected, and their consent obtained before their name shall be nominated. The nominating committee shall report at the first meeting in April.
ARTICLE IV Election of Officers
Section 1. The election shall take place at the second meeting in April. Additional nominations may be made from the floor at this meeting before nominations are closed. Oral voting will be permitted except when there is more than one nominee. In that case, a written ballot shall he used. Election is by a majority vote.
Section 2. Installation of the newly elected officers shall be held at the May meeting and duties of officers will be assumed at that time.
ARTICLE V Duties of Officers
Section 1. President. The President shall preside at all regular and special meetings of the club, serve as Chairman of the Board of Directors, shall be ex officio member of all committees except the nominating committee, and shall administer the affairs of the club with the assistance of the Board of Directors. He shall appoint a slide judging chairman for each monthly competition and a print judging chairman for each monthly competition. He shall appoint all committees. Provisions for the annual competition and annual awards shall be the duty of the President.
Section 2. Vice-president. The Vice-president shall preside at all regular and special meetings of the club in the absence of the President. In the event of the vacancy in the Office of the President, the Vice-President shall assume that office. All arrangements for the annual banquet in May shall be the responsibility of the Vice President. This includes the program for the banquet.
Section 3. Secretary/treasurer. The Secretary-treasurer shall collect all dues, keep a record of all members and of all receipts and disbursements and pay all bills as authorized by the President.
ARTICLE VI Committees, their functions
Section 1. Membership Committee. The membership committee shall consist of not fewer than three members. It shall be their duty to consider ways and means of increasing the club's membership and with the approval of the officers , to instigate and direct any campaign for that purpose. It shall also be their duty to see that all visitors , and therefor prospective members, be properly welcomed at meetings.
Section 2. Exhibitions Committee. This committee shall be composed of two members interested in color slides and two members interested in prints. It shall have power to arrange for and manage the exhibits of this club and any other exhibits which the club may wish to present.
Section 3. Social and Field Trip Committee. This committee shall consist of at least three members. It shall be the duty of this committee to arrange for field trips, to set up committees for refreshments at all the club meetings and assist the Vice-president in making arrangements for the annual banquet in May.
ARTICLE VII Meetings
Section l. Regular meetings shall be held on the second Thursday and the last Thursday of each month September through April with exceptions: The second meeting in
November may be rescheduled due to the Thanksgiving holiday.
Section 2. The annual banquet will be held on the second Tuesday in May - subject to scheduling of banquet program.
Section 3. Special meeting may be called at the discretion of the President or majority of the Board of Directors.
Section 4. The first meeting of the month shall be programs for the purpose of education and entertainment.
ARTICLE VIII Competition and Awards
Section 1. Monthly competitions - 3 print and 4 slide entries per member per category
A. The following are the various categories for each month Sept. through April
2x2 slides Single Category
Black & white prints Large Print and Small Print Category
Color prints Large Print and Small Print Category
21/4 x 21/4 slides Single Category - bimonthly from Sept.
Digital Pictorial New N4C Trial /not currently judged locally
B. Club rules comply on comparable classes with all N4C rules as printed in
the current "North Central Camera Club Council Handbook and Directory." Any club rule that is in conflict with N4C rules is superseded by the N4C rule.
Members may NOT enter color print competition in both Large and Small
in the same competition-year.
C. Large Color Prints
The print may be produced by the entrant or commercial laboratory. The original exposure must be the work of the entrant. Prints may be any size or shape not to exceed 16x20 inches including the mount. The print must be mounted.
D. Small Color Prints
The print may be produced by the entrant or commercial laboratory. The original exposure must be the work of the entrant.. Prints may be any size or shape not to exceed 11x14 inches. The print must be mounted with
the size of the mount not to exceed 11x14 inches.
E. Large B&W Prints
The print may be produced by the entrant or commercial laboratory. The original exposure must be the work of the entrant. Prints may be any size or shape not to exceed 16x20 inches including the mount. The print must be mounted.
F. Small B&W Prints
The print may be produced by the entrant or commercial laboratory. The original exposure must be the work of the entrant.. Prints may be any size or shape not to exceed 11x14 inches. The print must be mounted with
the size of the mount not to exceed 11x14 inches.
G. 2x2 Slides
Slides must have been taken by the entrant. Glass over cardboard will not be
accepted. Slides must show the title, entrant's name, address, and camera club,
and be spotted in the lower left corner as it is viewed in an upright position.
The slide may be cropped.
H. 21/4 x 21/4 Slides
Same as 2x2 slides except any 21/4 slide so cropped that it will fit the 2x2 format must be entered in 2x2 competition.
Section 2. Annual Awards: 2 entries per member per category.
a. There shall be the following Annual Awards:
Black & White print of the year Large Class
Black & White print of the year Small Class
Color print of the year Large Class
Color print of the year Small Class
2x2 slide of the year
21/4 x 21/4 slide of the year
The above entries must have been entered in monthly competition during the
current camera club year.
b. Open Class:
The following awards will also be given. These entries need not have been
entered in camera club:
Best Black & White print of the Year
Best Color print of the Year
Best 21/4 x 21/4 slide of the year
Best 2x2 slide of the year
PHOTOGRAPHER OF THE YEAR based upon points accumulated during
the year for points received each month in the Sioux City Camera Club and
N4C.
